Agreement Term

This IT consulting agreement will begin on the date it is signed by Client and will continue on a month-to-month basis until either party gives written notice to the other in accordance with the terms of this agreement.
Cancellation

This is a month-to-month consulting agreement, with neither party committing to a long-term relationship. If any party wishes to terminate this agreement, they must do so in writing, conveyed via email or certified mail. Consultant undertakes to immediately cease providing IT consulting services and prepare a final pro-rated invoice for services delivered in the event of cancellation.

Pricing & Payment

Client agrees to pay Consultant a monthly fee as indicated in the table below for the life of this IT consulting agreement:

Client also agrees to compensate Consultant for any additional expenditures spent by Consultant in connection with the execution of this agreement, including pre-approved travel and expenses.

On the first business day of each month, Consultant will send an electronic invoice to Client. Each invoice must be paid in full within 20 days of receipt by the client.
Intellectual Property

As an independent subcontractor, the Consultant agrees to cede to the Client any intellectual property rights relating to the work performed under the terms of this agreement.
Confidentiality

Except in circumstances previously permitted in writing by Client, Consultant agrees to preserve total confidentiality and non-disclosure of Client's trade secrets and business practises at all times.
Competition & Solicitation

At any time, Consultant agrees not to seek or attempt to hire Client's personnel. Client acknowledges Consultant's right to work for other agencies, including Client's rivals, as an IT consultant. This work must adhere to the rules of the IT consulting agreement's confidentiality clause.
Indemnity

Client and Consultant agree to hold each other blameless and indemnify each other for any damages or liabilities that may arise during the course of this agreement.
Amendments

This agreement encompasses the entire extent of the Client-Consultant business relationship. Consultant's IT consulting services to Client must be in accordance with the provisions of this agreement. There are no other terms, pledges, or commitments that can be made.
Governance & Dispute Resolution

The conditions of this contract will be regulated by the laws of [Consultant.State]. Any legal procedures or disputes must be filed with and decided by a neutral arbitrator in [Consultant.State]. If a dispute arises between Consultant and Client, both parties agree that the prevailing party will be reimbursed for all legal expenditures, including attorneys' fees, by the opposing party.
